PLEASE READ CAREFULLY THE FOLLOWING DISCLOSURE AGREEMENT BEFORE SELECTING ONE OF THE TWO RESPONSES BELOW.
VIVENDI GAMES MOBILE DISCLOSURE AGREEMENT
The submission, post or other communication by any person (herein “You” or “I”) to http://hangman.vgm.net/ or any other Vivendi Games Mobile (“VGM”) website (collectively referred to herein as the “Website”) of any personal or other information, product idea, general concept, user-generated content or any other content (collectively “Idea(s)”) for any purpose including without limitation the inclusion such Idea in any contest, within any product, and/or Website forum (where such Idea may be discussed among the Website users via posts or any other form of communication) shall be governed by: (i) the Terms of Use as set forth on the Website; (ii) the express terms of any VGM contest or other event as set forth on the Website or otherwise; and (iii) the provisions listed below. With respect to any Idea You post or otherwise submit to the Website, You acknowledge that You have read, understand and agree to the terms enumerated below:
1. The posting and/or submission of your Idea to VGM is entirely voluntary. You understand and acknowledge that VGM may be working on the same or a similar idea, that it may already know of such Idea from other sources and that it may simply wish to develop this Idea (or a similar idea) on its own.
2. The Idea represents your own original work. You have all necessary rights to disclose the Idea to VGM. In doing so, You are not violating the rights of any third party and You know of no other individual or entity whose rights will be infringed upon by the posting of such Idea and/or VGM’s review and/or use of the Idea.
3. VGM’s review of your Idea shall not be construed as any recognition of the novelty or originality of the Idea. VGM will give your submission such consideration, if any, as is warranted in its sole judgment. VGM is not obligated to reveal VGM’s activities that are related to the subject matter of any submitted Idea. VGM reserves the right to edit, delete or correct any Idea submitted by You prior to publishing such Idea.
4. YOU UNDERSTAND THAT VGM HAS NO OBLIGATION, EITHER EXPRESS OR IMPLIED, TO USE YOUR IDEA IN ANY MANNER.
5. WITH THE EXCEPTION OF VGM DECIDING IN ITS SOLE DISCRETION THAT AN IDEA YOU SUBMITTED HAS QUALIFIED FOR COMPENSATION PURSUANT TO THE EXPRESSED TERMS OF A VGM CONTEST OR SOME OTHER VGM EVENT, NO COMPENSATION OR CREDIT WILL BE DUE TO YOU FOR ANY COMMERCIAL OR OTHER USE BY VGM OF ANY IDEA, RELATED IDEAS, OR IDEAS DERIVED FROM AN IDEA SUBMITTED BY YOU, WHETHER SUCH USE IS INTENTIONAL OR UNINTENTIONAL.
6. YOU UNDERSTAND THAT DISCLOSURE OF YOUR IDEA TO VGM DOES NOT ESTABLISH A CONFIDENTIAL RELATIONSHIP OR OBLIGATE VGM TO TREAT THE IDEA (OR ANY RELATED MATERIALS) AS SECRET OR CONFIDENTIAL.
7. The Idea is not protected by any patents, nor have You sought patent protection for the Idea. (Notwithstanding the foregoing, if You submit an Idea in which You have sought patent protection, You acknowledge that a license with respect to such patent is granted to VGM.
8. You agree that, except to the extent this Agreement is superceded by a subsequent written agreement between You and VGM, You have waived any potential claims against VGM, its parent, or any of its subsidiaries with respect to the Idea.
I hereby acknowledge that I have read and understand the foregoing Disclosure Agreement and agree that by clicking “I Accept” I am acknowledging my agreement to be bound by the terms and conditions of this Disclosure Agreement.
